SheReels service (“SheReels,” “we,” or “us”) includes our websites at . SheReels.com, along with other related websites, networks, applications, and other services provided by us (collectively, our “Service”). These Terms of Service are a legally binding contract between you and SheReels regarding your use of the Service.

PLEASE READ THE FOLLOWING TERMS CAREFULLY. BY CLICKING “I ACCEPT,” OR BY DOWNLOADING, INSTALLING, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS, INCLUDING THE SHEREELS PRIVACY POLICY (TOGETHER, THE “TERMS”). If you are not eligible, or do not agree to the Terms, then you do not have our permission to use the Service.

These Terms stipulate that all disputes between you and SheReels will be settled through BINDING ARBITRATION. YOU CONSENT TO WAIVE YOUR RIGHT TO LITIGATE in court to assert or defend your rights under this agreement, except for matters that may be brought before small claims court. A NEUTRAL ARBITRATOR, rather than a judge or jury, will determine your rights, and your claims cannot be pursued as a class action. Please refer to Section 20 (Dispute Resolution and Arbitration) for specifics concerning your commitment to resolve any disputes with SheReels through arbitration.

  1. SheReels Service Overview.

SheReels operates and manages an online content platform that offers online video(short drama), online novel and content creation services.

  1. Eligibility.

You must be at least 13 years old to use the Service. By agreeing to these Terms, you affirm and warrant to us that: (a) you are at least 13 years old; (b) you have not previously been suspended or banned from the Service; and (c) your registration and use of the Service comply with all applicable laws and regulations. If you are using the Service on behalf of an entity, organization, or company, you assert and warrant that you have the authority to legally bind that entity to these Terms, and you agree to be bound by these Terms on behalf of that entity.

  1. Accounts and Registration.

To access most features of the Service, you must create an account. During the registration process, you may need to provide us with certain information about yourself, such as your email address or other contact details. You agree that the information you provide is accurate and that you will keep it accurate and current. Upon registration, you will be prompted to create a password. You are solely responsible for safeguarding the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account. If you suspect that your account security has been compromised, you must promptly notify us at service@shereels.com.

  1. Payment Terms.

Access to the Service, or specific features thereof, may require payment of fees. Prior to making any payments, you will have the opportunity to review and accept the applicable fees. All fees are denominated in U.S. dollars and are non-refundable.

4.1 Pricing. SheReels retains the right to establish pricing for the Service. SheReels will strive to maintain current pricing information on the website. We recommend checking our website regularly for the latest pricing details. SheReels may adjust the fees for any Service feature, including additional fees or charges, provided advance notice of changes is given. SheReels may, at its discretion, offer promotional deals with varied features and pricing to certain customers, which may not apply to your offer or these Terms.

4.2 Authorization. SheReels will bill the payment method you designate at the time of purchase. By making orders or selecting any Service level as described in these Terms or by the Company, you authorize SheReels to charge the designated payment method for all applicable sums. If you use a credit card for payment, SheReels may obtain pre-authorization from your credit card account to confirm its validity and available funds or credit. Payment processing services are facilitated by the third-party service through which the purchase is made (e.g., Apple In-App Purchases, Google Play, PayPal).

4.3 Accounts in Arrears. SheReels may suspend or terminate access to the Service, including fee-based sections, for any account with outstanding balances. In addition to the Service charges, delinquent accounts may incur fees or charges related to any unpaid amounts, including collection fees.

5.Licenses

5.1 Limited License. Subject to your full and ongoing compliance with these Terms, SheReels grants you, solely for your personal, non-commercial purposes, a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to: (a) install and utilize one object code copy of any mobile application linked with the Service obtained from a legitimate marketplace (whether installed by you or pre-installed on your mobile device by the device manufacturer) on a mobile device that you own or control; and (b) access and utilize the Service.

5.2 License Restrictions. Except where such a restriction is impermissible under applicable law, you may not: (a) replicate, distribute, publicly exhibit, or publicly perform the Service; (b) make alterations to the Service; or (c) disrupt or bypass any feature of the Service, including any security or access control mechanism. If you are barred from using the Service under applicable law, you may not use it.

7.Digital Millennium Copyright Act

7.1DMCA Notification. We comply with the provisions of the Digital Millennium Copyright Act applicable to Internet service providers (17 U.S.C. §512, as amended). If you have an intellectual property rights-related complaint about material posted on the Service, you may contact our Designated Agent at the following address:

Any notice alleging that materials hosted by or distributed through the Service infringe intellectual property rights must include the following information:

a. The signature, whether electronic or physical, of the individual authorized to act on behalf of the copyright or other infringed right owner;

b. Details regarding the copyrighted work or other intellectual property right that you allege has been infringed;

c. Information about the material you claim is infringing, including its location on the SheReels platform;

d. Your contact details, including address, phone number, and email address;

e. A statement from you asserting that you have a sincere belief that the use of said materials on SheReels is not authorized by the copyright holder, their agent, or the law;

f. A statement confirming the accuracy of the information provided in your notification and asserting, under penalty of perjury, that you are either the copyright or intellectual property owner or have authorization to act on their behalf.

7.2 Repeat Infringers.

STORYHUB will promptly terminate the accounts of users deemed by STORYHUB to be "Repeat Infringers" without prior notice. A Repeat Infringer is defined as a user who has received notifications of infringing activity or has had User Content removed from the SheReels platform on at least two occasions.

8. Prohibited Conduct.

By utilizing the SheReels service, you agree NOT to:

a. Utilize the Service for any unlawful purpose or in violation of any local, state, national, or international laws;

b. Violate, or encourage others to violate, the rights of any third party, including through infringement or misappropriation of any third-party intellectual property rights;

c. Post, upload, or distribute any User Content or other material that is illegal, defamatory, libelous, inaccurate, or that a reasonable person would find objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate;

d. Disrupt the security features of the SheReels Service, including: (a) disabling or bypassing features that prevent or restrict the use or copying of any content; or (b) attempting to reverse engineer or discover the source code of any part of the SheReels Service, except as expressly permitted by applicable law;

e. Interfere with the functioning of the SheReels Service or any user's enjoyment of it, including: (a) uploading or spreading any virus, adware, spyware, worm, or other malicious code; (b) making unsolicited offers or advertisements to other users of the SheReels Service; (c) trying to gather personal information about another user or third party without consent; or (d) disrupting any network, equipment, or server connected to or used to provide the SheReels Service, or violating any regulations, policies, or procedures of such network, equipment, or server;

f. Engage in any fraudulent activity, such as impersonating any person or entity, falsely claiming affiliation, accessing any other SheReels account without authorization, or falsifying your age or date of birth;

g. Sell or transfer access granted under these Terms or any Materials (as defined in Section 13), or any right or ability to view, access, or use any Material;

h. Solicit, for commercial purposes, any users of the SheReels Service regarding their User Content;

i.Attempt to perform any of the acts described in this Section 8, or assist or allow any person to engage in any of the acts described in this Section 8.

9.Third-Party Services and Linked Websites.

SheReels may offer features within the Service allowing you to export information, including User Content, to third-party services. This includes features enabling you to link your SheReels account with accounts on third-party platforms like Twitter or Facebook, or through our integration of third-party buttons (such as "like" or "share" buttons). By utilizing these tools, you consent to the transfer of such information to the respective third-party service. It's important to note that third-party services operate independently from SheReels, and we do not control their use of your exported information. Additionally, the SheReels Service may include links to third-party websites, which are also beyond our control, and we do not assume responsibility for their content.

10. Termination of Use;

Discontinuation and Modification of the Service. You can cancel your SheReels account anytime by reaching out to customer service at service@shereels.com. Upon termination, you are still responsible for settling any outstanding fees incurred before termination for your use of the Service. Should you breach any provision of these Terms, your authorization to use the Service will automatically cease. STORYHUB also reserves the right to terminate your user account on the Service, or suspend or terminate your access to the Service, at its sole discretion, with or without notice, for any reason or without any reason at all. We retain the right to modify or discontinue the Service, either temporarily or permanently, at any time, without prior notice to you, including by limiting or discontinuing specific features of the Service. We shall bear no liability whatsoever for any changes made to the Service or for any suspension or termination of your access to or use of the Service.

11.Privacy Policy; Additional Terms

11.1. Privacy Policy. Please carefully review the SheReels Privacy Policy for details regarding the collection, use, storage, and disclosure of your personal information. The SheReels Privacy Policy is hereby referenced and incorporated into these Terms.

11.2. Additional Terms. Your utilization of the Service is governed by any additional terms, policies, regulations, or guidelines applicable to the Service or specific features thereof, which may be posted on the Service or linked from it (the "Additional Terms"), such as end-user license agreements for downloadable software applications, or rules specific to certain features or content on the Service, subject to Section 12. All Additional Terms are incorporated into these Terms by reference.

12. Modification of these Terms.

SheReels reserves the right, at its discretion, to amend these Terms at any time going forward. Please periodically review these Terms for any changes. Material revisions are effective upon your acceptance of the updated Terms, while immaterial changes take effect upon publication. Disputes arising from these Terms will be resolved according to the version of the Terms in force at the time the dispute arises.

13. Ownership; Proprietary Rights.

The SheReels platform is owned and operated by SheReels. The visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other components of the Service ("Materials") provided by SheReels are protected by intellectual property and other laws. All Materials included in the Service are the property of SheReels or its third-party licensors. Unless expressly authorized by SheReels, you may not utilize the Materials. SheReels reserves all rights to the Materials not explicitly granted in these Terms.

14. Feedback.

If you opt to provide input and suggestions regarding issues with or proposed modifications or enhancements to the Service ("Feedback"), you hereby grant SheReels an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to utilize the Feedback in any manner and for any purpose, including improving the Service and developing other products and services.

15. Indemnity.

You are accountable for your utilization of the Service, and you agree to defend and indemnify SheReels and its officers, directors, employees, consultants, affiliates, subsidiaries, and agents (collectively, the "SheReels Entities") from and against any claim, liability, damage, loss, and expense, including reasonable attorneys' fees and costs, arising from or related to: (a) your access to, use of, or alleged use of, the Service; (b) your breach of any part of these Terms, any representation, warranty, or agreement referenced in these Terms, or any applicable law or regulation; (c) your infringement of any third-party right, including any intellectual property right, publicity right, confidentiality right, or privacy right; or (d) any dispute or issue between you and any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without relieving you of your indemnification obligations with respect to that matter), and in such case, you agree to cooperate with our defense of that claim.

16. Disclaimers; No Warranties

THE SERVICE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS, WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE STORYHUB ENTITIES DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SERVICE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE, INCLUDING: (A) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT; AND (B) ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE. THE STORYHUB ENTITIES DO NOT WARRANT THAT THE SERVICE OR ANY PORTION OF THE SERVICE, OR ANY MATERIALS OR CONTENT OFFERED THROUGH THE SERVICE, WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, AND DO NOT WARRANT THAT ANY OF THOSE ISSUES WILL BE CORRECTED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE SERVICE OR ANY MATERIALS OR CONTENT AVAILABLE THROUGH THE SERVICE WILL CREATE ANY WARRANTY REGARDING ANY OF THE STORYHUB ENTITIES OR THE SERVICE THAT IS NOT EXPRESSLY STATED IN THESE TERMS. YOU ASSUME ALL RISK FOR ANY DAMAGE THAT MAY RESULT FROM YOUR USE OF OR ACCESS TO THE SERVICE, YOUR DEALINGS WITH ANY OTHER SERVICE USER, AND ANY MATERIALS OR CONTENT AVAILABLE THROUGH THE SERVICE. YOU UNDERSTAND AND AGREE THAT YOU USE THE SERVICE, AND USE, ACCESS, DOWNLOAD, OR OTHERWISE OBTAIN MATERIALS OR CONTENT THROUGH THE SERVICE AND ANY ASSOCIATED SITES OR SERVICES, AT YOUR OWN DISCRETION AND RISK, AND THAT YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY (INCLUDING YOUR COMPUTER SYSTEM OR MOBILE DEVICE USED IN CONNECTION WITH THE SERVICE), OR THE LOSS OF DATA THAT RESULTS FROM THE USE OF THE SERVICE OR THE DOWNLOAD OR USE OF THAT MATERIAL OR CONTENT.

SOME JURISDICTIONS MAY PROHIBIT A DISCLAIMER OF WARRANTIES AND YOU MAY HAVE OTHER RIGHTS THAT VARY FROM JURISDICTION TO JURISDICTION.

17.Limitation of Liability

IN NO EVENT WILL THE STORYHUB ENTITIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICE OR ANY MATERIALS OR CONTENT ON THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY STORYHUB ENTITY HAS BEEN INFORMED OF THE POSSIBILITY OF DAMAGE.

EXCEPT AS PROVIDED IN SECTION 20.4(iii), THE AGGREGATE LIABILITY OF THE STORYHUB ENTITIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO STORYHUB FOR ACCESS TO AND USE OF THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT(S) OR CIRCUMSTANCES GIVING RISE TO THE CLAIM; OR (B) $100.

SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. AS A RESULT, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

EACH PROVISION OF THESE TERMS THAT LIMITS LIABILITY, DISCLAIMS WARRANTIES, OR EXCLUDES DAMAGES IS DESIGNED TO AND DOES DIVIDE THE RISKS BETWEEN THE PARTIES UNDER THESE TERMS. THIS DIVISION IS A FUNDAMENTAL PART OF THE AGREEMENT BETWEEN THE PARTIES. EACH OF THESE PROVISIONS IS SEPARATE AND INDEPENDENT FROM ALL OTHER PROVISIONS OF THESE TERMS. THE RESTRICTIONS IN THIS SECTION 17 WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS TO ACHIEVE ITS PRIMARY OBJECTIVE.

18.Governing Law.

These Terms are governed by the laws of Singapore without regard to conflict of law principles. If a lawsuit or court proceeding is permitted under these Terms, you and SheReels agree to submit to the personal and exclusive jurisdiction of the courts located within Singapore. We operate the Service from our offices in #09-04, 20 Cecil Street, 049705, and we make no representation that Materials included in the Service are appropriate or available for use in other locations.

19.General.

These Terms, along with the Privacy Policy and any other agreements explicitly referenced in these Terms, constitute the complete and exclusive understanding and agreement between you and SheReels regarding your use of the Service. Unless expressly permitted otherwise, these Terms may only be modified by a written agreement signed by authorized representatives of all parties involved. You may not assign or transfer these Terms or any rights under these Terms, either wholly or partially, through operation of law or otherwise, without our prior written consent. We reserve the right to assign these Terms at any time without notice or consent. The failure to enforce any provision will not affect our right to enforce it at a later time, nor will our waiver of any breach or default of these Terms, or any provision thereof, be considered a waiver of any subsequent breach or default or of the provision itself. The use of section headings in these Terms is for convenience only and will not impact the interpretation of any provision. If any part of these Terms is deemed invalid or unenforceable, the unenforceable part will be enforced to the fullest extent possible, and the remaining parts will remain in full force and effect. Upon termination of these Terms, Sections 2, 4, 5, and 6 through 20, along with the Privacy Policy and any other associated agreements, will remain valid.

20.Dispute Resolution and Arbitration

20.1. Generally. To expedite and cost-effectively resolve disputes between you and SheReels, both parties agree that any dispute arising from these Terms will be settled through binding arbitration. Arbitration is a less formal process than a court trial, employing a neutral arbitrator instead of a judge or jury. It may involve more limited discovery compared to court proceedings and may be subject to minimal court review. Arbitrators have the authority to grant the same remedies as a court. This arbitration agreement covers all claims stemming from or related to any aspect of these Terms, whether grounded in contract, tort, statute, fraud, misrepresentation, or any other legal theory, irrespective of whether such claims arise before or after the termination of these Terms. BY ACCEPTING THESE TERMS, YOU AND SheReels BOTH AGREE TO WAIVE THE RIGHT TO A JURY TRIAL OR PARTICIPATION IN A CLASS ACTION.

20.2. Exceptions. Notwithstanding the terms of Section 20.1, nothing in these Terms shall be interpreted as waiving, preventing, or otherwise limiting either party's right to: (a) initiate an individual action in a small claims court; (b) pursue enforcement action through the appropriate federal, state, or local agency, if such action is available; (c) seek injunctive relief in a court of law; or (d) file a lawsuit in a court of law to address a claim of intellectual property infringement.

20.3. Arbitrator. Any arbitration between you and SheReels will be settled through binding arbitration administered by the Singapore International Arbitration Centre ("SIAC") according to the Rules of Singpoare International Arbitration Centre in effect at the time the arbitration notice is submitted. The SIAC Rules and submission forms can be accessed online at <www.siac.org.sg>, or by contacting the SIAC viacorpcomms@siac.org.sg, or by contacting SheReels via service@shereels.com.

20.4. Notice; Process. If a party intends to initiate arbitration, they must first send a written notice of the dispute to the other party via certified mail or international express courier services (requiring a signature), or if the other party has not provided a current physical address, then via email (“Notice”). SheReels' address for Notice is: STORYHUB, #09-04, 20 Cecil Street, 049705, Singapore

The Notice must: (a) outline the nature and basis of the claim or dispute; and (b) specify the relief sought (“Demand”). The parties will attempt to resolve the claim directly in good faith. If an agreement is not reached within 30 days of receiving the Notice, either you or SheReels may initiate arbitration. During arbitration, any settlement offers made by either party must not be disclosed to the arbitrator until after the arbitrator has rendered a final decision and award, if any. If the dispute is resolved in your favor through arbitration, SheReels will pay you the greater of the following: (i) the amount awarded by the arbitrator, if any; (ii) the last written settlement amount offered by SheReels before the arbitrator's award; or (iii) $1,000.

20.5.No Class Actions. YOU AND SHEREELS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and SheReels agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

20.6. Modifications to this Arbitration Provision. If SheReels makes any future changes to this arbitration provision, except for changes to SheReels' address for Notice, you can reject the change by sending us written notice within 30 days of the change to SheReels' address for Notice. In this case, your account with SheReels will be immediately terminated, and this arbitration provision, as in effect immediately prior to the changes you rejected, will remain valid.

21. Consent to Electronic Communications.

By utilizing the Service, you acknowledge and consent to receiving specific electronic communications from us, as detailed in our Privacy Policy. Please review our Privacy Policy for a comprehensive understanding of our electronic communication practices. You agree that any notifications, agreements, disclosures, or other communications sent to you electronically by us will fulfill all legal communication requirements, including the necessity for written communication.

23.Notice Regarding Apple.

If you're using our mobile applications on an iOS device, Section 23 applies. You recognize that these Terms pertain to your relationship with SheReels, not Apple, and that Apple bears no responsibility for the Service or its content. Apple isn't obligated to provide maintenance or support services for the Service. Should the Service fail to meet any applicable warranty, you can inform Apple, and they'll refund any applicable purchase price for the mobile application to you. To the fullest extent permitted by law, Apple assumes no other warranty obligations regarding the Service. Apple isn't liable for addressing any claims by you or third parties related to the Service or your use of it, including product liability claims, claims of non-compliance with legal or regulatory requirements, or claims under consumer protection laws. Apple isn't responsible for investigating, defending, settling, or discharging any third-party claims of intellectual property infringement resulting from your use of the mobile application. You agree to adhere to any applicable third-party terms while using the Service. Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you. You represent and warrant that: (i) you aren't located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country; and (ii) you aren't listed on any U.S. Government list of prohibited or restricted parties.
